Freight Brokerage Terms & Legal Disclaimer

Jhutty Tranz Inc. operates strictly as a licensed freight broker and logistics intermediary. Jhutty Tranz Inc. is not a motor carrier and does not own, lease, or operate transportation equipment unless expressly agreed to in writing. All transportation services arranged through Jhutty Tranz Inc. are performed by independent third-party motor carriers operating under their own FMCSA authority.

All carriers engaged by Jhutty Tranz Inc. are independent contractors and are not employees, agents, representatives, or partners of Jhutty Tranz Inc. Each motor carrier is solely responsible for the operation of its equipment, compliance with all applicable federal, state, and local transportation laws and regulations, the conduct of its drivers, and the safe and lawful transportation of freight.

Jhutty Tranz Inc. shall not be responsible for cargo loss, cargo theft, damage, shortage, delay, spoilage, contamination, or any transportation-related incident occurring while freight is in the custody, possession, or control of the transporting motor carrier or any third party involved in the transportation process. To the fullest extent applicable under the Carmack Amendment and other governing transportation laws, liability for cargo shall remain solely with the transporting motor carrier and its insurance providers.

All carriers are required to maintain active operating authority, cargo insurance, automobile liability insurance, and any other coverage required under applicable laws and regulations. Any cargo claim, loss, theft, or damage claim must be filed directly with the responsible motor carrier and/or its insurance provider.

Verification of a carrier’s insurance coverage by Jhutty Tranz Inc. shall not be construed as a guarantee, warranty, or representation that any claim will be covered under the carrier’s insurance policy. Coverage determinations remain solely subject to the terms, conditions, exclusions, endorsements, and decisions of the issuing insurance provider.

Any unauthorized subcontracting, double brokering, assignment, transfer, or re-brokering of freight without prior written authorization from Jhutty Tranz Inc. shall constitute a material breach of agreement. The originally contracted motor carrier shall remain fully liable for all cargo claims, theft, damages, delays, insurance deficiencies, legal expenses, and any resulting losses arising from such unauthorized activity.

The motor carrier represents and warrants that all information provided to Jhutty Tranz Inc., including operating authority, insurance documents, contact information, banking information, and identity credentials, is accurate, legitimate, and authorized. Any misrepresentation, fraudulent activity, identity theft, carrier impersonation, or unauthorized use of another carrier’s authority shall constitute material fraud and may be reported to law enforcement agencies, FMCSA, insurance providers, and other regulatory authorities.

Jhutty Tranz Inc. shall not be liable for losses arising from cyber fraud, email spoofing, identity theft, fraudulent communications, wire fraud, or unauthorized acts originating from third parties, provided that Jhutty Tranz Inc. exercised commercially reasonable carrier verification and security procedures.

Jhutty Tranz Inc. shall not be liable for delays, service interruptions, failures, or damages caused by events beyond its reasonable control, including but not limited to weather events, natural disasters, labor disputes, port congestion, rail congestion, road closures, acts of government, customs delays, pandemics, cyberattacks, theft, fraud, criminal acts, security incidents, or other force majeure events.

Each motor carrier agrees to defend, indemnify, and hold harmless Jhutty Tranz Inc., its officers, employees, agents, and affiliates from and against any claims, liabilities, damages, fines, penalties, losses, costs, or expenses, including attorney fees, arising out of or related to the carrier’s transportation services, including but not limited to bodily injury, cargo loss, cargo theft, property damage, regulatory violations, negligence, or unlawful acts or omissions.

For drayage, intermodal, or container shipments, the transporting motor carrier shall remain solely responsible for all container, chassis, trailer interchange, demurrage, detention, per diem charges, storage fees, and equipment-related damages incurred while such equipment is in the carrier’s possession, custody, or control.

Electronic communications, including emails, rate confirmations, invoices, load tenders, and digital signatures, shall be deemed legally valid and enforceable communications between the parties.

Failure by Jhutty Tranz Inc. to enforce any provision of these Terms & Conditions shall not constitute a waiver of such provision or any rights available under applicable law.

To the fullest extent permitted by law, Jhutty Tranz Inc. shall not be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages arising out of transportation services performed by independent carriers or third parties.

Any dispute arising from services arranged by Jhutty Tranz Inc. shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Venue for any legal proceeding shall lie exclusively in the state or federal courts located within the State of California.
Each motor carrier shall remain solely responsible for any accident, collision, bodily injury, death, property damage, environmental damage, or other liability arising out of or related to the operation of the carrier’s equipment, drivers, employees, contractors, or transportation services. Jhutty Tranz Inc. shall not be liable for any claims, injuries, fatalities, damages, or losses occurring while freight is in the custody, possession, or control of the transporting motor carrier or during the performance of transportation services by the carrier or its agents.

By utilizing services arranged through Jhutty Tranz Inc., all parties acknowledge and agree that Jhutty Tranz Inc. acts solely as a freight broker arranging transportation services and is not the motor carrier responsible for the physical transportation of freight. Customers may request the Shipper-Broker
Transportation Agreement at any time.
By conducting business with JHUTTY TRANZ INC, all parties agree to the Jhutty Tranz Inc terms and conditions.
